1. Scope of Services
BrandGrowth offers a range of professional digital services including Website Development, AI Automation, Social Media Marketing, Mobile App Development, and E-Commerce Solutions.
The exact scope, deliverables, and timelines of each engagement will be defined in a Statement of Work (SOW) or project proposal agreed upon before work begins.
Any task, feature, or deliverable not explicitly listed in the SOW is considered out of scope. Out-of-scope work may be quoted and billed separately upon mutual agreement.
2. Payment Terms
All projects follow a milestone-based payment structure unless otherwise agreed in writing:
• 40% advance payment before work commences
• 40% at the mid-project milestone (as defined in the SOW)
• 20% upon final delivery and project handover
Invoices are due within 7 days of issuance. A late payment penalty of 2% per week will be applicable after the due date.
If payment remains overdue beyond 14 days, BrandGrowth reserves the right to pause all ongoing work until the outstanding amount is settled.
GST (Goods and Services Tax) will be charged separately as applicable under Indian tax law. Accepted payment methods include NEFT and UPI.
3. Revision & Change Policy
Each project proposal will specify the number of revisions included within the agreed scope. Revisions beyond this limit may attract additional charges.
Any change requests that fall outside the original SOW will be treated as a change order and quoted separately before implementation.
All feedback and revision requests must be submitted in writing (email or documented format). Verbal feedback will not be considered actionable.
Piecemeal feedback — providing revisions in multiple fragmented rounds rather than consolidated submissions — may result in additional revision charges to account for the extra effort involved.
4. Project Timeline & Delays
BrandGrowth is committed to delivering projects within the timelines agreed in the SOW. If a delay is anticipated from our side, we will notify the client at least 5 business days in advance with a revised timeline.
Clients are expected to provide all required content, assets, feedback, and approvals within the timelines specified in the project plan.
If a client delay exceeds 14 consecutive days without communication, BrandGrowth reserves the right to pause the project. Restarting a paused project may attract a restart fee to re-allocate resources.
BrandGrowth shall not be held liable for delays caused by force majeure events, including but not limited to platform outages (AWS, Google Cloud, hosting providers), internet disruptions, natural disasters, or government-imposed restrictions.
5. Intellectual Property (IP) Rights
Full intellectual property rights for all custom work (designs, code, content created specifically for the client) will transfer to the client only after complete payment has been received as per the SOW.
Until full payment is received, all intellectual property remains the property of BrandGrowth.
BrandGrowth retains the right to showcase completed work — including screenshots, descriptions, and project summaries — in its portfolio, case studies, and marketing materials.
Any open-source libraries, frameworks, or third-party components used in the project remain under their respective licenses and are not considered BrandGrowth's proprietary work.
6. Confidentiality
Both BrandGrowth and the client agree to keep each other's business information, strategies, technical documentation, and client data strictly confidential.
Neither party will share, disclose, or make available any confidential information to third parties without prior written consent from the other party.
This confidentiality obligation survives the completion, termination, or expiration of the project engagement and remains in effect indefinitely.
7. Cancellation & Refund Policy
Project cancellation requests must be submitted in writing (email to support@brandgrowth.tech).
The 40% advance payment is non-refundable once project work has commenced, as it covers initial resource allocation, planning, and setup costs.
If a project is cancelled mid-way, payment will be due for all work completed up to the point of cancellation, calculated based on the SOW milestones.
No refund will be issued after final project delivery and client sign-off.
Discovery calls, initial consultations, and free quotes provided by BrandGrowth carry no cost and no obligation to proceed.
8. Limitation of Liability
BrandGrowth shall not be responsible for any indirect, incidental, special, or consequential damages — including but not limited to loss of revenue, business interruption, or data loss — arising from or in connection with the delivered work.
BrandGrowth's total liability for any claim related to a project shall not exceed the total amount paid by the client for that specific project.
BrandGrowth is not liable for failures, outages, or policy changes of third-party platforms and services such as AWS, Stripe, Google Cloud, Meta Ads, Shopify, or any other external tool used in service delivery.
9. Post-Delivery Support & Maintenance
Post-delivery support terms — including duration, scope, and response times — will be agreed upon on a per-project basis at the time of contract signing.
Bug fixes for issues in the original deliverables (as defined in the SOW) are covered during the agreed support period at no additional cost.
New features, enhancements, or changes requested after project delivery are treated as a separate engagement and will be quoted accordingly.
BrandGrowth offers paid monthly and annual maintenance plans for ongoing support, updates, security patches, and performance monitoring.
10. Governing Law & Dispute Resolution
This agreement and all engagements with BrandGrowth are governed by the laws of India, including the Indian Contract Act, 1872 and the Information Technology Act, 2000.
The courts of Jaipur, Rajasthan shall have exclusive jurisdiction over any disputes arising from or related to these Terms & Conditions.
In the event of a dispute, both parties agree to first attempt resolution through mutual discussion. If unresolved, disputes will proceed to mediation, and if necessary, binding arbitration as per the Arbitration and Conciliation Act, 1996.
11. Website Use Terms
By visiting and using brandgrowth.tech, you agree to the following usage terms:
• You will not scrape, copy, reproduce, or redistribute any content from this website — including text, images, code snippets, and design elements — without prior written permission.
• All website content, design, and branding are the intellectual property and copyright of BrandGrowth.
• Use of automated bots, crawlers, or scripts for unauthorized data collection from this website is strictly prohibited.
12. Third-Party Tools & Services
In the course of service delivery, BrandGrowth may use third-party tools and platforms including but not limited to AWS, Google Cloud, Stripe, Razorpay, Zapier, Make (Integromat), ChatGPT (OpenAI), Claude (Anthropic), and others.
These tools operate under their own Terms of Service, privacy policies, and pricing structures. By engaging BrandGrowth, clients acknowledge the involvement of such third-party services.
BrandGrowth is not responsible for changes in third-party tool pricing, availability, features, or policies that may affect project delivery or ongoing services.
